These Terms of Service (“Terms”) govern your access to and use of the website happydomains.nz and all services provided by TBCS Group Ltd, trading as Happy Domains (“Happy Domains”, “we”, “us”, or “our”).
By accessing or using our services (“Service”), you agree to be bound by these Terms.
If you do not agree, you must not use our Service.
“Company” means TBCS Group Ltd.
“Happy Domains” means the trading name of the Company.
“Services” means domain name registration, renewal, transfer, hosting, DNS, email, VPS, cloud or related services.
“Registry” means any domain name registry including but not limited to the .nz registry (InternetNZ / NZRS).
“Registrant” means the legal holder of a domain name.
By using our Services, you enter into a legally binding agreement with TBCS Group Ltd.
You confirm that:
You are at least 18 years of age.
You have legal authority to enter this agreement.
All information provided is accurate and complete.
All domain name registrations are subject to:
The policies of the applicable Registry
.nz Domain Name Commission policies
ICANN policies (where applicable)
Dispute resolution procedures
Applicable New Zealand law
Registry policies take precedence over these Terms where required.
Submission of a domain request does not guarantee registration.
A domain name is registered only when:
Confirmed by the Registry
Payment has cleared
Registry requirements are satisfied
You must:
Provide accurate and current registrant details
Keep contact details up to date
Respond to registry validation requests
Comply with registry eligibility criteria
Failure may result in suspension or cancellation by the Registry.
The Registrant retains rights to the domain name subject to:
Ongoing compliance with registry rules
Payment of renewal fees
Absence of dispute rulings
Domain names are not property in the traditional sense and remain subject to registry control.
You are solely responsible for renewing your domain before expiry.
We may send reminders but:
We are not liable for failure to receive reminders
Expired domains may enter grace/redemption
Restoration fees may apply
Recovery is not guaranteed
Expired domains may be released or auctioned per registry policy.
Domain transfers are subject to:
Registry rules
Authorisation processes
Outstanding payment clearance
We reserve the right to deny transfer where permitted by registry policy.
We may suspend or cancel a domain where:
Directed by a registry or regulator
Required by court order
Payment is overdue
Fraud or abuse is suspected
These Terms are breached
Registry decisions are final and binding.
You must not use our Services to:
Send spam (in breach of NZ Unsolicited Electronic Messages Act 2007)
Host illegal content
Infringe copyright or trademarks
Distribute malware
Conduct phishing or fraud
Attack or disrupt networks
We may suspend services immediately where abuse is suspected.
Hosting plans are subject to reasonable and fair usage.
We may throttle, suspend, or upgrade accounts that:
Excessively consume CPU, memory, or storage
Affect server stability
Unless explicitly stated in your plan:
You are responsible for your own backups
We do not guarantee data restoration
We are not liable for data loss
We aim for high availability but do not guarantee uninterrupted service.
Scheduled or emergency maintenance may occur without notice.
All Services are prepaid unless agreed otherwise.
Prices exclude GST unless stated.
Overdue accounts may incur:
10% late penalty
$8 minimum administration fee
Services may be suspended for non-payment.
Debt recovery costs are recoverable from you.
To the maximum extent permitted by law:
TBCS Group Ltd is not liable for:
Indirect or consequential loss
Loss of profit or revenue
Loss of data
Business interruption
Total liability is limited to fees paid in the previous three (3) months for the affected service.
Nothing in these Terms limits rights under the Consumer Guarantees Act 1993 where applicable.
We are not liable for failure or delay due to:
Registry outages
Internet backbone failures
Government action
Natural disasters
War, cyber attack, or infrastructure failure
.nz domains are subject to the .nz Dispute Resolution Service.
International domains may be subject to UDRP proceedings.
Registry dispute decisions are binding.
These Terms are governed by the laws of New Zealand.
Courts of New Zealand have exclusive jurisdiction.
11.1 Our Service may contain links to third-party websites not controlled by us.
11.2 We are not responsible for the content, policies, or practices of third-party websites.
11.3 You should review the terms and privacy policies of any third-party websites you visit.
We may amend these Terms at any time.
Material changes will be notified where practicable.
Continued use constitutes acceptance.
